Milan, 26 July 2012. Fiera Milano SpA announces that it has today signed a preliminary
contract for the acquisition of 60% of the Turkish trade fair operator, Interteks Uluslararasi
Fuarcilik A.S., the local market leader, which has a diversified portfolio of exhibitions in the
beauty and personal care, home and garden, hospitality, sailing and logistics sectors. With the
acquisition of Interteks, the total number of exhibitions organised abroad by Fiera Milano rises
to 57.
The investment will be USD 3.1 million (Euro 2.5 million1), of which USD 2.5 million (Euro
2.0 million1) will be paid to the counterparty for the acquisition of 60% of the company on
signature of the contract to purchase the shares. The remaining USD 0.6 million (Euro 0.492
million1) represents Fiera Milano’s share of a recapitalisation totalling USD 1.0 million (Euro
0.820 million1) to be carried out following completion of the transaction, which is expected to
occur by the end of August 2012.
